Welcome to CardBoard. These Terms of Service (the “Terms”) govern your use of the CardBoard website, software, and related services, including any mobile applications, plugins, extensions, or integrations (collectively referred to as the “Service”) provided by CARDBOARDIT, LLC (referred to as “CardBoard”, “we,” “us,” or “our”)

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms or cannot comply with them, please do not use the Service.

Modification of Terms

We reserve the right to modify, amend, or revise these Terms at any time. We will provide notice of any material changes to these Terms by posting a notice on our website or by sending you an email or other notification. Your continued use of the Service after such modifications will signify your acceptance of the updated Terms. Therefore, we recommend that you review these Terms periodically to stay informed of any changes.

Definitions

  1. Service“: The term “Service” refers to the CardBoard website, along with any related services, features, functions, mobile applications, plugins, extensions, or integrations provided by CardBoard.
  2. User“: A “User” is any individual or entity that accesses or uses the Service in any manner, including but not limited to registered users, visitors, and account holders.
  3. Content“: “Content” encompasses all text, data, information, images, graphics, icons, logos, symbols, trademarks, photographs, videos, audio, and any other materials, including related intellectual property rights, that are provided to CardBoard by Users, derived from Users, or otherwise accessed or processed by CardBoard in the context of any business relationship with Users and/or as part of providing the Service.

Acceptance of Terms and Eligibility

By using the Service, you affirm that you have read, understood, and accepted these Terms. You further acknowledge and agree to the following:

  1. Age Requirement: You must be 13 years of age or older to use our services. If you are under 13 years old, you are not permitted to use the Service.
  2. Human Requirement: Accounts on our platform must be registered and used by humans. The use of “bots” or any other automated methods for account registration or interaction with the Service is strictly prohibited.
  3. Individual Login Requirement: Your login credentials, including your username and password, may only be used by one person. Sharing a single login among multiple individuals is not permitted. You have the option to create separate logins for as many individuals as necessary, each subject to these Terms of Service.

Prohibited Activities

You may not use our Service to:

  • Violate any applicable law or regulation.
  • Infringe upon any intellectual property rights, including copyright, trademark, or patent rights.
  • Interfere with or disrupt the functionality of our Service or the associated networks.
  • Engage in fraudulent, deceptive, or abusive activities that may harm other users or CardBoard.

Please adhere to these user responsibilities to ensure the lawful and responsible use of our services. Failure to comply with these responsibilities may result in the suspension or termination of your account and access to the Service.

Account Registration

  1. To access features of the Service, you may be required to register for an account. When creating your account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information.
  2. You are solely responsible for all activities that occur under your account, and you must maintain the confidentiality of your account credentials. You agree to immediately notify CardBoard of any unauthorized use of your account or any other security breaches.

API Terms

You may access our Service via an Application Program Interface (API). Any use of the API, including use of the API through a third-party product that accesses the services, is bound by the Terms of Service plus the following specific terms:

  1. You expressly understand and agree that CardBoard shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if CardBoard has been advised of the possibility of such damages), resulting from your use of the API or third-party products that access data via the API.
  2. Abuse or excessively frequent requests to the Service via the API may result in the temporary or permanent suspension of your access to the API. CardBoard, in its sole discretion, will determine abuse or excessive usage of the API. CardBoard will make a reasonable attempt via email to warn you prior to suspension.
  3. CardBoard reserves the right at any time to modify or discontinue, temporarily or permanently, your access to the API (or any part thereof) with or without notice.

Intellectual Property

All intellectual property rights in our services, including trademarks, copyrights, and trade secrets, are owned by Company or its licensors. You may not reproduce, modify, distribute, or display our services without our prior written consent.

Payment and Subscription

You may be required to pay fees to access the Service. Subscription fees are billed in advance and are non-refundable. We reserve the right to change our fees and subscription plans at any time.

Cancellation and Termination

Termination by the User: You may terminate your subscription and use of CardBoard at any time by following the cancellation instructions provided within your account settings. Upon termination, you will have access to CardBoard until the end of your current billing period. No refunds or prorated amounts will be provided for unused portions of the subscription term.

Termination by CardBoard: We reserve the right to terminate or suspend your access to CardBoard, including any associated accounts and data, in our sole discretion, with or without cause and with or without notice. Reasons for such termination or suspension may include, but are not limited to:

  • Violation of the Terms of Service or any applicable policies.
  • Breach of applicable laws or regulations.
  • Non-payment of subscription fees.
  • Inactivity or prolonged account inactivity.

Upon termination by CardBoard:

  1. You will lose access to the service immediately.
  2. Your data may be permanently deleted from our servers, and we shall have no obligation to provide a copy of such data.
  3. No refunds will be issued for unused portions of the subscription term.

Content Ownership and User Responsibility

  1. Compliance with Copyright Law: All content posted on the Service must comply with U.S. copyright law.
  2. No Claim of Intellectual Property Rights: We do not claim any intellectual property rights over the material or content you provide to CardBoard. Your profile, content, and uploaded materials remain your exclusive property.
  3. Content Screening and Removal: We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service. While CardBoard does not pre-screen content, we reserve the right (but are not obligated) to refuse or remove any content available via the Service at our sole discretion.
  4. User Responsibility: You are solely responsible for all content posted and activities conducted under your account, even when such content is posted by others who have accounts under your account.
  5. Exposure to User-Generated Content: Although we prohibit certain conduct on the Service, you understand and agree that CardBoard cannot be held responsible for the content posted on the Service. You acknowledge that you may be exposed to various materials and agree to use the Service at your own risk.

Privacy

We collect, use, and disclose personal data in accordance with our Privacy Policy. By using our services, you agree to our collection, use, and disclosure of personal data as described in our Privacy Policy.

Disclaimers

CardBoard provides the Service on an “as is” and “as available” basis. We make no representations or warranties of any kind, whether express or implied, regarding the availability, accuracy, reliability, or suitability of the Service for any purpose.

While we strive to provide a reliable and secure service, we do not warrant that:

  1. The Service will meet your specific requirements.
  2. The Service will be uninterrupted, timely, secure, or error-free.
  3. The results obtained from using the Service will be accurate or reliable.
  4. Any errors in the Service will be corrected.

Limitation of Liability

In no event shall CardBoard or its affiliates, licensors, or service providers be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with our Service. You agree to indemnify and hold harmless CardBoard from any claims, damages, or losses arising out of your use of our services.

Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Indiana. Any legal action, suit, or proceeding arising out of or relating to the Terms of Service shall be filed and adjudicated in the state or federal courts located within the County of Marion, Indianapolis, Indiana. Each party consents to the personal jurisdiction of such courts and waives any objection to the laying of venue in such courts.

Miscellaneous

  1. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any CardBoard customer, employee, member, or officer will result in immediate account termination.
  2. You understand that CardBoard uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
  3. You understand that the technical processing and transmission of the Service, including your Content, involves transmission (a) over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
  4. CardBoard may send you emails for onboarding instructions and service-related communications, such as account notices and updates. You are responsible for maintaining the security of your email account.
  5. You may have the option to opt out of certain non-essential marketing emails as outlined in our Privacy Policy or account settings. CardBoard is not liable for consequences arising from missed emails.
  6. The Terms constitute the entire agreement between you and CardBoard and supersede any prior agreements between you and CardBoard (including, but not limited to, any prior versions of the Terms of Service). If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  7. The failure of either party to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.
